Terms of Service
Please read these Terms of Service ("Terms") carefully before using archo.ca or engaging Archo for web design services. By accessing this website or submitting a project inquiry, you agree to be bound by these Terms.
1. About These Terms
These Terms govern your use of the Archo website and any services you engage us to provide. "Archo", "we", "us", and "our" refer to the web design business operating under the Archo brand, based in Ottawa, Ontario, Canada.
2. Services
Archo provides custom web design, website redesign, local SEO optimization, and related digital services for local and small businesses. The specific scope of any project is defined in a written project agreement provided prior to commencing work. That agreement takes precedence over these general Terms for anything project-specific.
3. Quotes and Pricing
All quotes are valid for 14 days from the date issued. Prices are quoted in Canadian dollars (CAD) and are subject to applicable taxes. A signed project agreement and deposit are required before any design work begins.
4. Payment
Payment is structured in two milestones as outlined in the project agreement (typically a 50% deposit upfront and 50% upon completion). Final deliverables — including source files and site access credentials — are released only upon receipt of full payment. Late payment may result in temporary suspension of project work.
5. Client Responsibilities
To ensure timely delivery, clients agree to:
- Provide all required content, images, and assets promptly as outlined in the project brief
- Respond to requests for feedback or approval within a reasonable timeframe (typically 3–5 business days)
- Ensure all materials provided do not infringe on third-party intellectual property
Archo is not responsible for project delays caused by client delays in providing content or approvals.
6. Intellectual Property
Upon receipt of full payment, all rights to the completed website design — including source code, graphics, and written content created by Archo — are transferred to the client. Archo retains the right to display completed work in its portfolio unless the client explicitly requests otherwise in writing.
All content, branding, and assets on archo.ca itself (outside of client deliverables) remain the exclusive intellectual property of Archo and may not be reproduced without written permission.
7. Revisions and Scope Changes
Revisions within the agreed scope are included as outlined in the project agreement. Requests that fall materially outside the agreed scope may be subject to additional charges, which will be communicated and agreed upon before any additional work is performed.
8. Third-Party Services
Websites we build may rely on third-party services such as domain registrars, hosting providers, or content delivery networks. Archo is not responsible for the terms, performance, pricing, or availability of any third-party services.
9. Limitation of Liability
Archo's total liability for any claim arising out of our services is limited to the amount paid by the client for the specific project giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue or lost business opportunities, even if advised of the possibility of such damages.
10. No Guarantee of Rankings
While we build websites optimized for local search (SEO), we make no guarantee of specific Google rankings, traffic volumes, or inquiry rates. Search engine rankings are determined by Google and are subject to continuous algorithm changes outside our control.
11. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
